Job Description:
ANSYS, Inc. (, a publicly-traded global leader in engineering simulation, has retained Carpenter Legal Search, Inc. (“CLS”) to identify an Associate General Counsel, Corporate Governance & Assistant Corporate Secretary.

Overview: The Associate General Counsel, Corporate Governance and Assistant Secretary will be an attorney who possesses in-depth expertise in SEC and NASDAQ regulations and best practices and who has experience managing corporate governance matters for a U.S. publicly listed company with international operations and subsidiaries. The attorney will work closely with senior business and finance executives and outside counsel in conjunction with SEC filings and related compliance and reporting matters and will support the Corporate Secretary function.

Key Duties and Responsibilities:
  • Preparation of securities filings (including Forms 10-K, 10-Q and 8-K), as well as the annual Proxy Statement and annual shareholder meeting materials
  • Assist in developing, maintaining and executing policies and procedures to ensure sound corporate governance compliance with the regulations and requirements of the SEC and NASDAQ, in coordination with the company’s finance and human resources teams
  • Support the Corporate Secretary function, including Board meeting planning and preparation, Board communications, drafting of agendas and meeting minutes, etc., in preparation of Board meetings and the company’s annual meeting of stockholders
  • Attend and record minutes of certain Board Committee meetings 
  • Advise on corporate governance activities, including maintenance of books and records for the company 
  • Assist with the administration of the company’s Insider Trading Policy, including blackouts, pre-clearance, etc.
  • Play a key role in corporate finance transactions and in the company’s treasury function, including maintenance of intercompany agreements
  • Liaise with the company’s Investor Relations team
  • Provide legal advice on corporate disclosure matters and review news releases and investor presentations
  • Monitor and assess regulatory developments and best practices in the areas of disclosure, corporate governance and securities laws, and develop implementation strategies as appropriate
  • Participate in stockholder outreach and interact with proxy advisory firms
  • Work closely with human resources on executive compensation policies and procedures 
  • Support and supervise the company’s ESG program
Required Experience and Qualifications
  • Law degree from an accredited law school
  • Admission to the Bar of the Commonwealth of Pennsylvania or other state
  • A minimum of 8 years of applicable experience in corporate and securities matters
  • In-house experience (including a mix of law firm and in-house experience) preferred
  • Excellent interpersonal skills with a strong ability to communicate effectively with a wide variety of audiences, including senior management and key internal and external stakeholders
  • Capacity to read, analyze and distill filings, statutes, regulations, agreements, spreadsheets and other documents
  • Independent and able to prioritize multiple matters in a fast-paced environment
  • Focus on detail in drafting and documentation
Location: Ansys Headquarters in Canonsburg, PA (Greater Pittsburgh Region); working remotely from alternative locations within the continental United States also will be considered with preference given to those in the Central or Eastern time zones.
