ATI has retained CLS to recruit a Commercial & Business Attorney for HQ in Dallas, Texas, to support ATI’s business units, reporting directly to the Vice President, Deputy General Counsel. This commercial role will manage a broad range of topics, including but not limited to commercial arrangements, compliance and corporate compliance, government contracting, internal investigations and reporting, and mergers & acquisitions. 

Key Responsibilities

•    Commercial
-    Prepare, review, and negotiate broad range of contracts and agreements.
-    Provide legal advice on business relationships with customers and vendors.
-    Advise on legal issues arising from operations across multiple jurisdictions.
-    Collaborate with a multidisciplinary team to deliver innovative solutions to complex legal and business challenges.

•    Compliance Program
-    Assist in developing, implementing and continuously improving the company’s global ethics and compliance program to align with regulations and the business, including policies, procedures and training. 
-   Proactively monitor regulatory developments and shifts in the compliance landscape and make strategic program recommendations and updates. 

•    Government Contracting
-    Support company-wide government contracting compliance program.
-    Collaborate with personnel across multiple ATI business units and functions to ensure compliance with ATI Government Contracting Guidelines.
-    Assist in negotiation of government contract terms and conditions.

•    Internal Investigations and Reporting
-    Direct or collaborate on internal investigations related to alleged misconduct, violations of policy, or regulatory non-compliance. 
-    Ensure timely reporting to senior management and external authorities, as needed.  

•    Mergers and Acquisitions
-    Support Deputy General Counsel working collaboratively with multiple cross-functional teams to structure and negotiate deals that align with the company’s strategic goals and risk profile and ensure compliance with relevant legal requirements.
-    Review and negotiate key transactional documents, including acquisition agreements and other transaction-related agreements.
-    Manage and conduct due diligence processes, including identifying risk and coordinating with external counsel and relevant internal stakeholders.

Experience 
•    Juris Doctor (JD) from an accredited law school 
•    4+ prior law firm and/or in-house experience 

Required Skills 
•    Mentally agile and ability to multi-task and manage tight deadlines 
•    Must possess high emotional intelligence and interpersonal skills 
•    Ability to work and build credibility across the business, up to and including senior management level 
•    Experience in a public manufacturing or industrial company is preferred 
•    Strong analytical skills with ability to act independently with discretion 
•    Ability to manage multiple projects and prioritize according to company goals and strategy 
•    Strong initiative to offer solutions to complex issues 

Travel 
•    Travel up to 10%
