Park Corporation, a family-owned corporation founded by Raymond P. Park in 1961, has retained us to recruit a
General Counsel to replace the current General Counsel who is retiring after having been with the company since 1997.
Location: The company’s main office is currently located at 210 Airside Drive, Moon Township, PA. The company also has an office in Medina, Ohio, although that office is scheduled to close October 31, 2028.
Overview: The General Counsel is a strategic leader who adds value to the broader business by enabling success through advice, counsel, interaction, and relationship with business leaders while ensuring legal and compliance operations are soundly executed.
Key Duties and Responsibilities:
- Provide pragmatic, timely legal advice to minimize risks while advancing the company’s interests and ensuring excellent representation
- Advise on a wide range of legal disciplines, translating legal advice into actionable guidance
- Review, negotiate and draft a broad range of commercial, corporate and government contracts, such as nondisclosure, employment, real estate purchase and sale, asset purchase and sale, stock purchase, investment, supply, vendor, labor and employment, company limited liability and joint venture agreements
- Serve as the key legal advisor on major business transactions, including mergers, acquisitions, dispositions, and expansions into new business areas and guide the company to achieve strategic objectives while minimizing legal risk
- Advise on transactional tax considerations in support of commercial, corporate, and strategic transactions and investment matters
- Counsel subsidiaries that supply the US Navy, advising on Department of Defense-related matters including Title III funding, International Traffic in Arms Regulations (ITAR), protection of controlled unclassified information (CUI) and Naval Nuclear Propulsion Information (NNPI), and compliance with Cybersecurity Maturity Model Certification (CMMC 2.0)
- Support and guide import and export compliance management
- Possess a general understanding of federal and state environmental laws (especially related to real estate)
- Lead the selection, retention and management of outside counsel to support the company’s operational needs and litigation
- Interact with CT Corporation regarding entity formation, state filings and ongoing corporate compliance
- Develop and maintain a network of legal resources to address specialty needs as they arise
- Provide legal advice and address operational compliance matters for the Park family private foundation
Minimum Requirements and Experience:
- Juris Doctor from a nationally accredited law school
- At least 15 years of corporate legal experience obtained through a combination of medium to large sized law firm and in house counsel roles
- Active license to practice law in the Commonwealth of Pennsylvania (or able to be admitted Pro Hac Vice or eligible to obtain a Limited In-House Corporate Counsel License)
- Experience drafting & negotiating complex agreements, including those related to mergers and acquisitions, real estate transactions, investment transactions, commercial transactions and regulatory matters
- Exceptional analytical and problem-solving skills with the ability to think strategically across both the creative and the execution processes
- A proven track record of integrating with key business teams and earning and maintaining trust over time
- Demonstrated leadership experience
- Excellent written and oral communication skills

- Strong skills in negotiating and drafting complex legal documents, negotiating transactions, and leading complex projects
- Results-oriented mindset with a demonstrated track record of delivering sound business advice and reliable legal counsel

- Demonstrated willingness to speak honestly, listen openly, and lead purposefully
- Excellent interpersonal and communication skills, as well as the ability to interact credibly and diplomatically within all levels of the company, tailoring communications effectively for different groups to strengthen cross-functional alignment
- Must be able to distill complex legal issues into easily understandable, concise and practical advice
- Competence in Microsoft Office Applications, including Word, Excel and Power Point
