Associate General Counsel
Position Summary
The Associate General Counsel will serve as a key legal advisor to the company and support the General Counsel ("GC"), providing practical, business-focused legal guidance across all aspects of the Company's operations. This position reports to GC and executive leadership to manage legal risk while supporting the company's strategic objectives and vision. The Associate General Counsel will assist with matters including, but not limited to: commercial contracting, corporate governance, regulatory compliance, employment law, litigation management, real estate matters, environmental issues, and operational legal support for the company.
Key Responsibilities
Litigation Management
- Manage pre-litigation disputes and claims.
- Coordinate with outside counsel on litigation strategy.
- Oversee discovery, document preservation, and case management.
- Evaluate litigation risk and settlement opportunities.
- Prep outside counsel for depositions.
- Interview associates in preparation for depositions and court appearances.
- Attend mediations both in person and via zoom.
- Attend trials.
Construction/Commercial Contracts
- Draft, review, negotiate, and manage a wide variety of commercial agreements, including:
- Customer sales agreements
- Vendor and supplier contracts
- Distribution agreements
- Equipment purchase and lease agreements
- Service agreements
- Confidentiality and nondisclosure agreements
- Advise management on contractual rights, obligations, and risk mitigation.
Regulatory & Compliance
- Monitor compliance with applicable federal, state, and local laws.
- Advise on regulatory matters involving:
- OSHA and workplace safety
- Environmental regulations
- Transportation regulations
- Commercial licensing
- Develop and implement company policies and compliance programs.
Labor/Employment Law
- Advise Human Resources and management on employment-related matters, including:
- Employee relations
- Workplace investigations
- Wage and hour compliance
- Leave laws
- ADA and accommodations
- Discrimination and harassment issues
- Separation agreements
- Assist with employment litigation and agency investigations.
Risk Management
- Identify legal risks affecting business operations.
- Develop practical solutions that align legal compliance with business objectives.
- Partner with insurance providers regarding claims and coverage issues.
Qualifications Required
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in PA.
- 5+ years of legal experience, including in-house and/or law firm.
- Strong experience drafting and negotiating various commercial contracts.
- In person - no remote work option.
- Knowledge of employment law, litigation management, and corporate governance.
- Excellent communication, negotiation, and analytical skills.
Preferred
- Experience in the lumber or building materials supplier industry.
- Experience supporting multi-state business operations.
- Experience managing outside counsel and legal budgets.

Physical Requirements
