Job Description:

We have been retained by The Hillman Company to identify an exceptional corporate and transactional attorney with at least 4-5 years of substantive legal experience. This role offers the opportunity to provide legal support across a broad spectrum of sophisticated transactional, corporate, and compliance matters.

Qualified candidates will possess outstanding academic credentials and training from an excellent law firm. In-house experience is advantageous, but not required. Through their prior experience, candidates will have acquired training and significant hands-on experience in a variety of areas, including familiarity with (i) private fund structuring, governance, and operations; (ii) private equity, venture capital, and alternative asset investments; (iii) securities law and related regulatory frameworks; and (iv) general corporate matters such as financing, employment law, real estate, corporate compliance, and contracts. An M.B.A., LL.M., or CPA license/tax experience, particularly with tax-exempt entities, is a plus.

This collaborative environment requires candidates to have strong interpersonal skills and excellent verbal and written communication abilities to effectively interact with the company’s investment team and C-suite executives.

As part of this high-functioning organization, the candidate must demonstrate exceptional analytical skills, integrity, maturity, and the ability to work independently with minimal supervision. The Associate General Counsel will provide first-chair legal support for the transactions and investments of the company, shareholders and other advisory clients ensuring compliance with all relevant regulatory requirements, anticipating and advising on strategic issues, and contributing to the corporate strategy planning process. The position reports to the Vice President & General Counsel whom we recruited to the organization 10 years ago.
