Job Description:
We have been retained to identify a highly motivated, business-minded Associate Corporate Counsel with around 2-4 years of transactional experience to join the growing legal department of a corporation in greater Cleveland, OH.  This newly created position is a role in support of key company objectives and will include involvement in a wide range of special projects. Candidates must have at least 2 years of legal experience that includes excellent law firm or in-house training. Experience with general corporate work is a plus but is not required. “Best athlete” candidates with litigation, bankruptcy or intellectual property experience seeking to transition to a commercial / transactional practice also will be considered.  

The position will be responsible for providing support to the company’s sales, operations, safety, IT, human resources, marketing, and finance groups. The Associate Corporate Counsel will act as a central point of contact with internal business clients and will review, draft, prepare and administer contracts and template forms and assist supervisory attorneys in creating, evaluating and implementing new processes, procedures, and policies relevant to the company’s compliance and sales initiatives. 

Primary Responsibilities Include:
  • Drafting and negotiating contracts, including customer, vendor, software licensing, and non-disclosure agreements. 
  • Advising internal business clients with respect to negotiation strategy. 
  • Managing project processes to ensure effectiveness and efficiency, including projects relevant to key compliance, business, and sales initiatives.
  • Serving as a legal department liaison with multiple corporate departments and outside counsel. 
  • Supporting review of certain aspects of requests for proposals.
  • Assisting in the identification and communication of legislative and regulatory developments affecting the company and its business. 
  • Providing counsel regarding a wide range of legal and policy matters.
  • Developing and implementing strategic approaches to resolve complex or sensitive legal issues.

  • Excellent oral and written communication skills, interpersonal skills, and negotiating skills, with the ability to gain the confidence and trust of business partners throughout the organization.
  • Must be well-organized with keen attention to detail and a strong work ethic.
  • Ability to think clearly and succinctly to cogently articulate a negotiating position as well as draft contracts in clear, concise language.
  • Business-focused mindset with ability to balance risk and business impact.
  • Ability to identify, evaluate and provide risk-appropriate solutions to the business based on excellent business judgment.
  • Desire to have significant internal client interaction.
  • Experience working in a cross-department, cross-functional role requiring good client relationship skills.
  • Ability to handle multiple and complex matters simultaneously and independently without supervision.
  • Ability to take the initiative to ask questions and propose solutions.
  • Strong interpersonal and teamwork skills and ability to work collaboratively with multiple stakeholders.
  • Able to thrive in a fast-paced environment and successfully manage aggressive deadlines.
  • Proficiency with general office software and computer functions.
