Job Description:

A forward-thinking, independent natural gas and midstream company, has retained Carpenter Legal Search, Inc. (“CLS”) to recruit a Legal Counsel or Senior Legal Counsel for the Legal Department. 

Location: Greater Pittsburgh, PA. Only local candidates are being considered at this time. (On-site only -- NOT a Remote Position)

Position Summary: This position provides legal counsel and support to various departments in the following areas: (i) corporate acquisition/disposition/joint venture transactions; (ii) securities matters; (iii) commercial contracts; and (iv) other legal matters as necessary. Responsible for working directly with business units, executive team and managing outside counsel to effectively execute and complete transactions/projects and resolving legal issues.

Target Responsibilities:
  • Provide general corporate advice and legal support to upstream oil and gas exploration and production operations, midstream operations, land, business development, information technology, and corporate functions.
  • Manage with outside securities counsel SEC related matters, including Proxy Statement, 10-K and other periodic filings, and executive compensation matters.
  • Work on acquisition and divestiture transactions for upstream and midstream energy assets, joint ventures, and development operations, including drafting and negotiating joint operating agreements, development agreements, cooperation and safety agreements, purchase and sale agreements, and gas gathering agreements.
  • Counsel corporate treasury team on credit agreements, indentures and lease financing arrangements.
  • Advise and provide legal support to supply chain management department including drafting/negotiating commercial agreements, including master services agreements, software license agreements, and non-disclosure agreements.
  • Day-to-day interaction and communication directly with business units on transactions and projects.
  • Direct interaction with General Counsel and executive management.
  • Cooperatively and collaboratively work with tight Legal Department team that cross-functionally operates. 
  • Manage and work with outside counsel to complete transactions and projects, including management of outside counsel use and spend.
Minimum Requirements:
  • Doctor of Jurisprudence (JD) required.
  • Ideal Background: 5-10 years of combined law firm and in-house experience. Corporate law experience required; public securities law experience a plus. 
  • Member in good standing of the Pennsylvania Bar (candidate must not have been disbarred from any jurisdiction).
  • Strong communication skills and ability to work collaboratively a must.
  • In the office work environment.
