Job Description:

Restek Corporation (www.restek.com), a 100% employee-owned (ESOP) leading developer and manufacturer of chromatography columns, sample preparation and collection products, reference standards, and instrument accessories, has retained us to recruit a Vice President, General Counsel. This newly created position will augment the C-Suite to further facilitate Restek’s work with analysts around the world, providing them with tools to monitor the quality of air, water, soil, foods, botanicals, pharmaceuticals, and chemical and petroleum products.

Location: This role is located at Restek’s headquarters in scenic Centre County, PA (Bellefonte/State College). 

The Restek main campus boasts a 128,000 square-foot facility with state-of-the-art manufacturing and research capabilities. The grounds also include a 1.2-kilometer walking path and a large pavilion for work or social gatherings. Beside the pavilion is the Millhouse, built to celebrate one of their many milestones of success. It is a place for employees and their families to celebrate events or enjoy a break in comfortable, relaxing surroundings. A playground lies between the Millhouse and Restek’s newest commitment to employee health and well-being: Founder’s Point. This 17,000 square-foot Wellness Center is complete with a full-size indoor gymnasium, workout rooms for strength training and fitness classes, locker rooms, and offices for their on-site, full-time wellness staff.  Founder’s Point is also their gathering place for company-wide events and their emergency operations center. In the event of an emergency, they have ensured that their Customer and Technical Service personnel can continue working with their customers without interruption. Overview: The Vice President, General Counsel is a strategic leader who adds values to the broader business by enabling success through advice, counsel, interactions, and relationships with business leaders while ensuring legal and compliance operations are soundly executed.

Key Duties and Responsibilities:

  • Serves as the leader of the Legal Department at Restek, providing pragmatic, timely legal advice to minimize risks while advancing Restek’s interests and ensuring excellent representation.  Advise on a wide range of legal disciplines, translating legal advice into actionable guidance.  Manages day-to-day blocking and tackling of legal needs within identified scope of responsibilities.
  • Collaborates with compliance officer to provide necessary support and guidance for internal compliance, compliance monitoring/auditing, training, process development & reporting, and export compliance management. 
  • Provides leadership for the company’s contract administration function, including contract guidance, development, and management.  Guides team to achieve desired business outcomes while minimizing legal risk.  Ensures team is equipped with the essential tools for success.
  • Serves as partner and advisor to the Head Coach (CEO), executes plans and ideas, and is responsive to the needs of the Leadership Team, General Managers, and the Board of Directors as legal issues emerge. 
  • Serves as the key legal advisor on major business transactions, including legal entity structure, guidance/responsibility for definition of future global legal entity structure for the Corporation, mergers, acquisitions, credit facility agreements and corporate financings, investment management and advisory agreements, key commercial/vendor arrangements, and expansions into new business areas. 
  • Lead the selection, retention and management of outside counsel, as necessary, to support Restek’s global operational needs.  Develop and maintain a centralized process for review of spending on legal matters.  Develops a network of legal resources that can be called upon for specialty needs, as needed.    
  • Provides legal oversight for all Intellectual Property (IP) matters, serving as coordinator with outside counsel for all IP issues globally, in the preparation and prosecution of patent and trademark applications.  Engages with internal cross-functional teams to create IP strategies aligned with business and strategic plans. 
  • Works with business leaders to define, develop and update corporate policies, procedures and programs that are consistent with applicable international, US and state laws. 
  • Hire, train, motivate, and manage performance to create a high-performing team. Provide coaching for team members to create a pathway for success in accordance with Restek’s core values.   
  • Perform other duties as assigned.

Minimum Education/Certification Requirements and Experience:

  • Juris Doctor from a nationally accredited law school
  • At least 12 years of practice as a corporate lawyer, with a combination of experience in a medium to large-sized law firm and as in-house counsel
  • Actively licensed to practice law in the Commonwealth of Pennsylvania (or able to be admitted Pro Hac Vice or eligible to obtain a Limited In-House Corporate Counsel License)
  • Experience drafting & negotiating complex agreements, including those associated with M&A, corporate finance, commercial transactions and regulatory matters preferred
  • Exceptional analytical and problem-solving skills with the ability to think strategically about both the creative and the execution processes, in a multi-cultural, international environment
  • A proven track record of integrating with key business teams and earning and maintaining their trust over time
  • Demonstrable leadership experience
  • Excellent written and oral communication skills

  • Highly intelligent, thoughtful and analytical; able to work smartly with great emotional intelligence
  • Strong skills in negotiating and drafting complex legal documents, leading the negotiation of complex transactions, and experience leading complex projects that include attorney and non-attorney team members 
  • Results-oriented approach and track record of delivering results that provide sound business advice and reliable legal counsel 
  • An open, inclusive, team-oriented work style and the ability to collaborate with employees and leaders across the organization

  • Highly competent in Microsoft Office Applications, including Word, Excel and Power Point
